1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Nuze Creations ("Service Provider," "we," "us," or "our") governing your engagement of our professional design services. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Services
Nuze Creations provides professional brand identity and design services, including but not limited to:
- Corporate brand identity design and development
- Logo design and visual identity systems
- Print collateral and marketing materials
- Digital assets and visual communications
- Brand strategy and consulting services
Specific services, deliverables, timelines, and fees will be defined in individual project agreements or statements of work.
3. Client Obligations
The Client agrees to:
- Provide accurate, complete, and timely information required for project execution
- Respond to requests for feedback and approval within agreed timeframes
- Ensure all provided materials do not infringe third-party intellectual property rights
- Make timely payments according to agreed terms
- Designate appropriate decision-makers with authority to approve deliverables

4. Payment Terms
4.1 Fees: All fees are specified in project agreements. Unless otherwise stated, fees are quoted in the applicable currency and exclude applicable taxes.
4.2 Payment Schedule: Payment terms will be specified in each project agreement. Standard terms may include initial deposits, milestone payments, and final payment upon completion.
4.3 Late Payment: Late payments may incur interest charges at the maximum rate permitted by law. We reserve the right to suspend services for accounts in arrears.
4.4 Additional Work: Requests beyond the agreed scope may incur additional fees, which will be communicated and approved before execution.
5. Intellectual Property Rights
5.1 Ownership Transfer: Upon full payment of all fees, Client receives complete ownership and intellectual property rights to final approved deliverables.
5.2 Preliminary Work: Preliminary designs, concepts, and draft materials remain the property of Nuze Creations unless specifically transferred by written agreement.
5.3 Portfolio Use: We reserve the right to display completed work in our professional portfolio and marketing materials unless confidentiality agreements specify otherwise.
5.4 Third-Party Materials: Client is responsible for obtaining appropriate licenses for any third-party materials, fonts, or stock imagery required for project implementation.
6. Revisions and Approvals
Project agreements will specify the number of revision rounds included. Additional revisions beyond the agreed scope may incur additional fees. Client approval of deliverables must be provided in writing (including email).
Approved deliverables are considered final. Subsequent changes may be treated as new projects and billed accordingly.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the engagement and continues indefinitely unless information becomes publicly available through no fault of the receiving party.
8. Project Timeline
Timelines are estimates based on prompt Client feedback and approval. Delays in Client response may extend project timelines proportionally. We will make reasonable efforts to meet agreed deadlines but cannot guarantee timelines when dependent on Client input.
9. Termination
9.1 By Client: Client may terminate services with written notice. Client remains obligated to pay for all work completed and approved to the date of termination, plus a termination fee as specified in the project agreement.
9.2 By Service Provider: We may terminate services if Client breaches these Terms, fails to make timely payments, or if continuing the engagement is impractical or impossible.
10. Limitation of Liability
To the maximum extent permitted by law, Nuze Creations' total liability shall not exceed the total fees paid by Client for the specific project giving rise to the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits or business opportunities.
11. Warranties and Disclaimers
We warrant that deliverables will be original work created specifically for Client and will not infringe third-party rights. We disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
Client acknowledges that design effectiveness depends on many factors beyond our control and that results cannot be guaranteed.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of South Africa. Any disputes will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in accordance with applicable arbitration rules.

Trademark and Legal Registration: While we design logos and brand identities, we do not provide trademark search, registration, or legal services. Clients are responsible for conducting trademark searches and obtaining appropriate legal protection for their brand assets.
Implementation Support: Unless specifically contracted, technical implementation (website development, printing coordination, etc.) is not included in design services.
Third-Party Dependencies
Our services may involve third-party resources:
- Fonts and Typography: Commercial fonts require separate licensing. Clients are responsible for obtaining appropriate font licenses for their intended use.
- Stock Imagery: Stock photographs or illustrations require separate licensing. We can recommend licensed stock resources but do not provide licenses as part of our services.
- Software and File Formats: Final deliverables are provided in industry-standard formats compatible with professional design and production software.
No Performance Guarantees
While we employ strategic methodologies and professional best practices, we cannot guarantee specific business outcomes, market response, or commercial success. Design effectiveness depends on numerous factors including market conditions, implementation quality, competitive landscape, and overall business strategy—many of which are beyond our control or influence.
File Delivery and Archiving
File Formats: Final deliverables are provided in formats specified in the project agreement, typically including vector files (AI, EPS, PDF) and raster formats (PNG, JPG) as appropriate.
Archive Period: We maintain project files for a period of seven years for reference and potential future work. Clients are responsible for securely storing their own copies of all deliverables.
Software Compatibility: Files are created using current industry-standard software. Future software updates may affect file compatibility. We are not responsible for file format obsolescence.
Conflicts of Interest
We maintain professional independence and will disclose any potential conflicts of interest. We will not simultaneously work on directly competing projects within the same market sector without client knowledge and consent.
Environmental Responsibility
As a digital design service, we maintain primarily paperless operations. When print production is required, we recommend environmentally responsible printing partners and sustainable materials where appropriate to project objectives and budget.
